Services of meetreet	The services to be provided by meetreet, further defined by Clause 2 in Section B, in particular: Listing of the Partner on meetreet.com and the associated subpages to generate new inquiries from companies for holding Events at the Partner's venue Ongoing consulting on suitable formats and execution options.
Services of the Partner	The services to be provided by the Partner, further defined by Clause 2 in Section B, in particular: Provision of all information that meetreet requires for research, obtaining offers or coordination with the Partner, in particular regarding local conditions and restrictions (max. number of participants, access restrictions, local peculiarities, etc.) Maintenance of the Partner's own information made available by meetreet on their pages to companies, with texts, images, price components and package prices Provision of all documents required for the settlement of the agreed commission from contracts concluded between the Partner and the companies, in particular contracts, booking confirmations, invoices, statements of additional services and information on cancellations or subsequent adjustments, immediately, at the latest within 5 calendar days after the end of the event.

Contract Period	The minimum term of this agreement is 12 months and begins upon signing.
Notice Period	The agreement automatically renews for additional periods of 12 months each upon expiry of the minimum term, unless terminated by either party with 3 months' notice prior to the end of the respective term.

The variables defined in Section A serve as definitions in Section B.

Section B – General Provisions

1. Subject Matter

1.1. This cooperation and brokerage agreement including all annexes ('Agreement') between meetreet and the Partner covers the listing of event and accommodation venues operated by the Partner as a 'Location' on the websites operated by meetreet (www.meetreet.com and the associated subpages), the referral of inquiries from companies for holding Events at the Partner's venue, and supporting coordination and administrative services in connection with the booking process for Events.

1.2. The aim of the cooperation is to support the Partner in generating inquiries for the holding of Events at the Partner's venue and in concluding contracts with interested companies, and to make the corresponding booking processes efficient for the companies.

1.3. Contracts for the execution of Events and for the provision of the respective services are concluded exclusively and directly between the Company and the Partner. meetreet is neither a contractual party nor an organizer of the Events. meetreet is not authorized to make legally binding declarations on behalf of or for the account of the Company or the Partner. To the extent that meetreet provides support, coordination and administrative services in the context of the Company's decision-making process, these are provided merely in a preparatory and non-binding manner. meetreet assumes no contractual responsibility for the nature, scope, quality or execution of the services rendered by the Partner to the Companies.

2. Cooperation and Services

The parties cooperate in a spirit of trust and collaboration within the framework of this Agreement. They support each other in the provision of the agreed services and inform each other in a timely manner of circumstances that may affect the cooperation or the execution of individual Events. Each party shall safeguard the interests of the other party to a reasonable extent.

2.1. Services of meetreet

2.1.1. meetreet undertakes to provide the services defined in Section A under 'Services of meetreet' with due care.

2.1.2. meetreet does not owe a specific economic success, in particular no minimum number of referrals, bookings or revenues for the Partner. The services of meetreet are provided within the scope of technical, organizational and economic possibilities.

2.1.3. In particular, meetreet will provide the following services:

Public listing of the Partner's venues ('Locations') on the websites operated by meetreet with own text, images, features and further information, without the Partner's entitlement to a listing using the Partner's or Location's real name;
Software tool to establish contact between the Partner and companies and for offer negotiation between the parties.

2.2. Services of the Partner

2.2.1. The Partner undertakes to provide the services defined in Section A under 'Services of the Partner'.

2.2.2. The Partner actively participates in decision-making processes coordinated by meetreet for events planned by the Company and provides feedback to a reasonable extent.

3. Compensation Structure and Commission 3.1. Annual Fee

3.1.1. For the use of the platform and the services provided by meetreet, the Partner owes the annual fee defined in Section A.

3.2. Commission Model

The Company concludes contracts for the Partner's services directly with the Partner. For bookings attributable to a referral by meetreet, meetreet receives a commission from the Partner in accordance with this Agreement.

3.3. Commission-Relevant Revenue

3.3.1. The Partner undertakes, during the contract period, to pay meetreet a commission for the revenues defined in Section A that were generated by companies at the Partner's venue in the context of Events brokered by meetreet.

3.3.2. A 'referral' exists in particular when

An inquiry from a company has been received via the meetreet platform;
meetreet has demonstrably named, introduced or established contact with the Partner for the Company; or
meetreet has prepared or forwarded the Partner's offers to companies.

3.3.3. The time of referral is independent of the time of conclusion of the contract between the Company and the Partner or of receipt of payment and is linked to the first referral-relevant activity of meetreet.

3.3.4. Bookings with companies brokered by meetreet are also considered brokered transactions if the contract is concluded within 12 months after termination of this Agreement.

3.3.5. No brokered transaction exists if the Company was already in concrete contractual negotiations with the Partner prior to meetreet's activity, or if the Partner was already known to the Company and actively being pursued as a potential contractual partner.

3.3.6. The Partner undertakes to refrain from all arrangements that are recognizably aimed at circumventing meetreet's commission claims ('circumvention prohibition').

3.4. Calculation of Commission-Relevant Revenue

3.4.1. The revenue relevant for meetreet's commission includes all contractually owed and/or payments made by the Company to the Partner in connection with Events brokered by meetreet, regardless of whether the respective Event is fully, partially or not executed at all.

3.4.2. The commission-relevant revenue is calculated on the basis of the fees economically due to the Partner, respectively adjusted for actually granted discounts, costs waived (in part) due to cancellations, or other price reductions, but not for fees that remain with the Partner as cancellation costs, default flat rates or comparable payments, but in any case excluding VAT and comparable statutory levies. Commission-relevant revenue also includes in particular cancellation fees, 'no-show' fees, pro-rata rental payments, default flat rates or other compensation or equalisation payments, to the extent that these are owed to or accrue to the Partner in connection with an Event brokered by meetreet.

3.4.3. The decisive factor for the commission obligation is solely that the Partner has a claim to payment against the Company in connection with the brokered Event or receives a payment, regardless of the timing of receipt of payment or the legal designation of the payment.

3.5. Obligation to Provide Evidence

To enable the review of commission claims against the Partner, the Partner is obliged to provide meetreet with appropriate evidence promptly upon request, but no later than four weeks after conclusion of the contract for the execution of an Event, and immediately after its execution and settlement. This may include in particular booking confirmations, offer documents, contracts, invoices or comparable documents from which the relevant revenues are evident.

3.6. Adjustment of Commission

3.6.1. meetreet is entitled to adjust the agreed commission rates with effect for the future if there is a valid reason therefor. A valid reason exists in particular in the case of

a material change in the scope of services or functionalities of the platform;
an adjustment to market or competitive conditions;
a change in statutory or regulatory framework conditions;
an expansion or restructuring of meetreet's business model.

3.6.2. meetreet will inform the Partner of an intended adjustment of the commission rates in text form at least 60 calendar days before they take effect.

3.6.3. In the event of a commission adjustment, the Partner is entitled to ordinarily terminate the Agreement with effect from the date the adjustment takes effect. If the Partner does not exercise this right of termination and continues the cooperation beyond the date of entry into force, the adjusted commission rates shall be deemed agreed.

3.6.4. Commissions for bookings that were conclusively concluded before the adjustment took effect shall be settled at the commission rates applicable until that point.

3.7. Invoicing and Due Date, Value Added Tax

3.7.1. meetreet is entitled to invoice the agreed commission and other remuneration owed under this Agreement after the respective Event has been executed or – if earlier – after invoicing by the Partner to the Company. The annual fee is invoiced on the start date and thereafter upon expiry of each 12-month period.

3.7.2. Invoices from meetreet are, unless otherwise stated in the invoice, due for payment within 10 calendar days from the invoice date without deduction.

3.7.3. The Partner is not entitled to withhold or offset payments due to counterclaims or rights of retention, unless these are undisputed or have been finally and conclusively determined.

3.7.4. All prices, remuneration, commissions and other fees stated under this Agreement are exclusive of the applicable statutory value added tax, unless expressly stated otherwise.

3.7.5. If the Partner or the Company is resident in Germany and the services are subject to German value added tax, the value added tax will be invoiced additionally in the amount prescribed by law.

3.7.6. If the recipient of the service is resident outside Germany, the VAT treatment shall be governed by the applicable tax provisions, in particular the regulations on the place of supply. To the extent that the conditions are met, the invoice will be issued without disclosure of VAT with reference to the transfer of tax liability to the recipient of the service.

3.7.7. If the event takes place abroad, foreign VAT or a comparable consumption tax may apply – depending on the place of the other service and the applicable national tax provisions. In such cases, the Partner owes the applicable tax and indemnifies meetreet from all resulting claims by tax authorities, to the extent that these are not based on intentional or grossly negligent conduct by meetreet.

3.8. Default

3.8.1. If the Partner is in default of payment of a due invoice, meetreet is entitled to claim default interest at the statutory rate.

3.8.2. Furthermore, meetreet is entitled in the event of default in payment to

suspend the further provision of services in whole or in part;
temporarily stop the referral of new inquiries; and
terminate the Agreement for good cause with extraordinary notice after the fruitless expiry of a reasonable grace period.

3.8.3. Further statutory claims of meetreet remain unaffected.

3.8.4. The agreement is deemed to have been acknowledged and is bindingly accepted by clicking the 'Confirm' button.
